Terms and Conditions for DIGITECH SYSTEMS – X-ray Machine and Medical Equipment Distribution

Introduction and Acceptance  
By engaging with Digitech Systems to purchase medical equipment, including X-ray machines, the buyer agrees to these Terms and Conditions. Orders are binding upon Distributor’s written acceptance.

Products and Orders  
- Products are described in invoices, quotes, or order confirmations.  
- Distributor acts as an intermediary; Buyer acknowledges it is not the manufacturer.  
- Orders may require deposits and are subject to Product availability.

Pricing and Payment Terms  
- Prices exclude taxes, duties, and shipping unless stated.  
- Full payment is due per agreed terms (e.g., 30% deposit, 70% pre-shipment). Late payments incur interest (1.5% monthly) and may halt deliveries.

Delivery and Shipping  
- Delivery timelines are estimates. Distributor is not liable for delays due to external factors.  
- Shipping costs, insurance, and risk of loss transfer to Buyer upon delivery to carrier. Buyer must inspect for damage immediately.

Inspection and Acceptance  
- Buyer must inspect Products within [X] days. Failure to report defects constitutes acceptance.

Warranties and Disclaimers  
- Manufacturer warranties apply; Distributor provides no additional warranties.  
- Products must be used as intended. Distributor disclaims liability for misuse, modification, or unauthorized repairs.  
- Buyer must ensure staff is trained; training services (if offered) require separate agreement.

Returns and Refunds  
- Returns only accepted for defective Products within [X] days, with prior authorization.  
- Restocking fees (up to [X]%) may apply. Non-defective or used Products are non-returnable.

Limitation of Liability  
- Distributor’s liability capped at the purchase price. Consequential, incidental, or indirect damages excluded.

Indemnification  
- Buyer agrees to indemnify Distributor against claims arising from misuse, negligence, or breach of these Terms.

Compliance with Laws and Regulations  
- Buyer must comply with all applicable laws (e.g., FDA, CE Marking, MDR, HIPAA, radiation safety).  
- Buyer is responsible for obtaining licenses/permits to operate Products. Export compliance required for international sales.

Intellectual Property  
- No transfer of manufacturers’ IP rights. Buyer must not infringe patents, trademarks, or copyrights.

Termination  
- Either party may terminate for material breach with  15 days’ notice. Termination does not relieve Buyer of payment obligations.

Governing Law and Dispute Resolution  
- Governed by laws of Gujarat Jurisdiction. Disputes resolved through arbitration in Ahmedabad, excluding class actions.

Data Privacy  
- Buyer must handle patient data in compliance with applicable privacy laws (e.g., HIPAA, GDPR).

Force Majeure  
- Distributor is not liable for delays/cancellations due to events beyond its control (e.g., pandemics, natural disasters).

Amendments  
- Terms may be updated at Distributor’s discretion. Continued use after changes constitutes acceptance.

Entire Agreement  
- Supersedes prior agreements. Modifications require written consent.

Severability  
- If a clause is invalid, remaining terms remain enforceable.
